This English translation is provided for convenience. In the event of any discrepancy between the English and Spanish versions, the Spanish version prevails. Read the original in Spanish.
These Terms and Conditions (“Terms”) govern access to, registration for and use of LERNIX, a technology platform for academic support available through web and mobile environments and through such integrations as may be enabled (“LERNIX” or “Platform”).
LERNIX is operated by LEANDEV S.A.S. (“Operator”). Before using the Platform, the User must read these Terms, the Privacy Policy and, where applicable, the specific terms of the plan, service order or contract entered into with an educational institution, sponsor or individual customer.
Selecting the acceptance button, activating an account or using the Platform constitutes acceptance of these Terms. Where the User is a minor, contractual acceptance rests with their parent or representative as provided in this document; the Student receives information appropriate to their age and acknowledges the rules for use of the Platform.
1. Scope and applicable documents
These Terms apply to students, parents or representatives, teachers, academic coordinators, administrators of educational institutions, individual customers and any other persons who access LERNIX, regardless of the contracting or funding arrangement.
The LERNIX Privacy Policy forms an integral part of these Terms and governs the processing of personal data, including the list of sub-processors available at lernix.ai/en/privacy/subprocessors. Specific commercial terms may be set out in an order, proposal, institutional contract, purchase screen or subscription plan. In the event of conflict, the specific terms shall prevail with respect to personal data protection, liability, intellectual property, service levels, audit and any other commercial matters expressly negotiated, while these Terms shall continue to govern general use of the Platform.
Where an educational institution enables access, the User must also comply with its regulations, academic policies, codes of conduct and integrity rules. No provision of these Terms limits the non-waivable rights recognized by applicable law.
2. Definitions
- “User”
- Any person who accesses or uses LERNIX under an authorized profile.
- “Student”
- A User who takes part in courses, activities, practice sessions or assessments through the Platform.
- “Representative”
- A parent, guardian or person legally empowered to authorize the use of LERNIX by a minor.
- “Teacher”
- A professor or facilitator authorized to create or manage classes, activities, materials, rubrics, assessments and reports.

3. Nature and features of the service
The purpose of LERNIX is to support meaningful learning and practice and assessment processes through conversations guided by artificial intelligence. Among other functions, the Platform may make it possible to:
- Upload assignments, essays, projects, syllabi, rubrics, materials and other academic content.
- Hold text or voice conversations with a Socratic tutor to explain, develop or defend ideas.
- Ask questions adapted to the student’s answers and generate feedback at the end of a session.
- Configure activities, assessment criteria and rubrics, and suggest grade ranges in accordance with those parameters.
- Generate transcripts, diagnostics, alerts, performance profiles and individual or group reports.
- View statistics on progress, comprehension and learning gaps at the student, class, course or institution level.
- Integrate with academic systems or other services to import users or export grades and reports, where the feature is enabled.
LERNIX is a technology support tool. It is not an educational institution, does not issue degrees or certifications, does not replace the teacher’s pedagogical work and does not guarantee any specific academic outcome, any particular grade, the passing of a subject, or admission to or continued enrollment in an institution.
4. Capacity, minimum age and representation of minors
Adult Users represent that they have sufficient legal capacity to accept these Terms. Anyone acting on behalf of an institution, sponsor or other organization represents that they have sufficient authority to bind it with respect to the acts they perform.
A student account may only be created for persons who meet the minimum age stated during registration. LERNIX is currently intended for students aged eleven (11) and older, unless the Service Order sets a higher minimum age for a specific Institution.
Where the student is under eighteen (18) years of age, the Institution must obtain and document the authorization of their parent or representative. LERNIX, on behalf of and under the instructions of the Institution, applies an additional layer whereby the Representative must receive a separate communication, state their relationship to the minor and accept these Terms and the Privacy Policy before the student uses the Platform. The Representative’s acceptance does not prevent the adolescent from exercising their rights directly in accordance with their evolving capacities and applicable law.
If the Representative refuses the authorization, revokes it or does not complete the required process, LERNIX may keep the account pending, block access or end the student’s enablement. The Representative undertakes to provide truthful information and to report any relevant change in their status or powers of representation.
LERNIX makes available to the Student a summary, in plain language appropriate to their age, of the use of the Platform and the processing of their information, available at lernix.ai/en/privacy/summary-for-teens.
5. Registration, invitations and account security
Registration may be initiated by the Operator, an Institution, an authorized administrator, a Teacher or the User themselves, depending on the enabled arrangement. The User will receive an invitation and must complete the requested information, set a password and accept the applicable documents.
The User represents that the information provided is true, complete, relevant and up to date. LERNIX may request corrections or verifications when it detects reasonable inconsistencies.
Credentials are personal and non-transferable. The User is responsible for keeping their password confidential, signing out on shared devices and immediately reporting any unauthorized access, loss of credentials or security incident.
It is prohibited to sell, assign, share or transfer an account; to use third parties’ credentials; to create false identities; to impersonate another person; or to circumvent authentication, authorization or access control mechanisms.
6. Profiles, permissions and access to information
Permissions depend on the assigned profile and scope. In general terms:
- The platform administrator may access the information strictly necessary to administer, support, secure and maintain LERNIX.
- An Institution’s administrator may manage the organization, its teachers, students, courses and statistics, without accessing other institutions.
- The Teacher may access the assigned classes, their students, activities, submissions, sessions, transcripts, scores and related reports.
- The Student may access their own profile, assignments, sessions, submissions, materials, transcripts and feedback.
The User may not attempt to access information, organizations, classes or profiles that do not pertain to them. LERNIX may keep access and activity logs for security, audit, support and compliance purposes.
7. Permitted uses and prohibited conduct
The User undertakes to use LERNIX lawfully, responsibly and ethically, and exclusively for the authorized academic and operational purposes. Without prejudice to other restrictions, it is prohibited to:
- Use the Platform to harass, threaten, discriminate against, defame, deceive, exploit or cause harm to another person.
- Submit content that is illegal, sexually explicit, violent, degrading, discriminatory or fraudulent, or that infringes the rights of minors.
- Upload personal data, images, audio, confidential documents or third-party information without authorization or where it is not necessary for the academic activity.
- Disclose passwords, access data, transcripts, assessments, reports or information of other students without authorization.
- Alter, interfere with, overload or attempt to breach the security, availability, integrity or operation of the Platform.
- Use bots, scraping, automated extraction, reverse engineering, decompilation, unauthorized testing, attacks, prompt injections or mechanisms intended to obtain code, models, prompts, parameters or protected information.
- Circumvent usage limits, access controls, safety filters, parental authorization mechanisms or institutional restrictions.
- Use LERNIX to commit plagiarism, misrepresent authorship, complete assessments in breach of institutional rules or facilitate academic dishonesty.
- Commercialize, sublicense, resell or exploit the Platform or its results without the Operator’s written authorization.
- Use AI Results to make decisions that are discriminatory, disproportionate or contrary to students’ rights.
8. Academic integrity and responsibilities of the Student
The Student must follow the instructions for each activity and the academic integrity rules of their Institution. Use of LERNIX does not authorize presenting as one’s own an answer generated by artificial intelligence where this is prohibited, nor concealing assistance received where it must be disclosed.
To preserve academic integrity, LERNIX records during the session certain technical signals of the Student’s interaction with the platform. For each event, only its timestamp and magnitude are stored, never its content. These signals serve as integrity indicators and do not by themselves constitute evidence of academic dishonesty: no sanction may be based on them without human review and without the Student having an opportunity to present their account.
The Student undertakes to:
- Submit their own work or hold the authorizations and references necessary to use content belonging to others.
- Answer authentically and not allow another person to take the session or assessment on their behalf.
- Review feedback and AI Results critically, and consult the Teacher when there are doubts or inconsistencies.
- Not submit personal or sensitive information that is not necessary for the activity.
- Inform the Teacher or LERNIX of serious errors, inappropriate content or results that may affect their rights.
9. Responsibilities of Teachers, administrators and Institutions
Teachers, administrators and Institutions that use LERNIX undertake to:
- Configure activities, materials, criteria and rubrics in a manner that is clear, relevant and appropriate to the educational level.
- Review AI Results before using them to grade, guide or take academic measures.
- Exercise genuine human oversight and assign the final grade according to their professional judgment and institutional rules.
- Create or upload accounts and rosters only when they have the legal standing to do so and have fulfilled the applicable duties to inform.
- Access only the classes and data that pertain to them, maintain confidentiality and avoid unauthorized disclosure of student information.
- Handle students’ requests, complaints and rights when the Institution acts as controller of personal data processing.
- Not use rankings, profiles, alerts or diagnostics in an automatic, discriminatory or decontextualized manner.
The Institution is responsible for its pedagogical, disciplinary and administrative decisions, for the assessment rules it configures and for the use it makes of the reports. The Operator does not replace its legal, academic or child-protection obligations.
10. Use of artificial intelligence and human oversight
LERNIX uses artificial intelligence systems to ask questions, process conversations, generate transcripts, analyze answers against materials or rubrics, produce feedback and prepare diagnostics, ranges, statistics, alerts or recommendations.
AI Results may contain errors, inaccuracies, omissions, biases or inappropriate interpretations. They are support tools and do not by themselves constitute a final academic decision, a certification of knowledge or an infallible assessment of the Student.
The Teacher may and must review, modify, validate or reject AI Results. The final grade and any decision that may significantly affect the Student must involve meaningful human intervention. The Student has the right not to be subject to decisions based solely on automated assessments and may request clarification, express their point of view and challenge a result through the academic channels of their Institution and, where applicable, through LERNIX’s channels, in accordance with the Privacy Policy.
Users’ personal data will not be used by LERNIX to train, fine-tune or improve general artificial intelligence models, except in the case of irreversibly anonymized information, which LERNIX may use for statistics, evaluation and improvement of its artificial intelligence components, including model training. Processing by technology providers must be limited to providing the requested functionality, in accordance with the Privacy Policy and the applicable terms. The logic behind suggested grade ranges and performance profiles is described in detail in the Privacy Policy.
11. Text and voice interaction, microphone and transcripts
When the User activates voice mode, LERNIX will request access to the microphone and will process the audio necessary to carry on the conversation, ask questions and generate the transcript. The audio is not used for biometric identification or identity verification. The User may use text mode when it is available.
Transcripts and, where applicable, audio recordings may be accessible to the Student, the Teacher and authorized administrators according to their profile. Retention periods, providers and other processing conditions are described in detail in the Privacy Policy.
The User must not record third parties’ conversations, include other people’s voices without authorization or use the feature for purposes other than the enabled academic activity.
12. User Content
The User retains whatever rights they hold in their Content. By uploading it to LERNIX, the User grants the Operator a non-exclusive, limited license, revocable in the permitted cases and valid for the time necessary, to host, technically reproduce, process, convert the format of, analyze and display that content to authorized Users, solely in order to provide, secure and maintain the Platform.
This license does not authorize the Operator to commercialize User Content or to use it to train general artificial intelligence models, except in the case of irreversibly anonymized information. The license will end when the content is deleted, except with respect to backup copies, evidence, records or retention required by law or necessary for the exercise or defense of rights.
Whoever uploads content represents that they hold the corresponding rights or have sufficient authorization. LERNIX may remove or block content where there are reasonable indications of illegality, infringement of rights, risk to minors, impact on security or breach of these Terms.
13. LERNIX intellectual property
The Platform, its software, code, architecture, interface, design, trademarks, logos, documentation, databases, features, interaction models, prompts, texts, graphics and other proprietary or licensed elements are protected by intellectual property law.
The Operator grants the User a limited, personal, non-exclusive, non-transferable and revocable authorization to access and use LERNIX for the term of their account and in accordance with the enabled plan. No ownership right is granted, nor any authorization to reproduce, modify, distribute, sublicense, sell, communicate to the public, reverse engineer or create derivative works, except with written permission or express legal authorization.
14. Personal data protection
The processing of personal data is governed by the LERNIX Privacy Policy, which sets out the categories of data, purposes, legal bases, recipients, international transfers, retention periods, security measures and data subjects’ rights.
Where a person contracts for the subscription directly, LERNIX may act as controller with respect to account creation, provision of the service, billing, support, security and other purposes determined by the Operator. In this case, the data subject may exercise their rights through the procedure set out in the Privacy Policy.
Where an Institution determines the academic purposes and LERNIX processes the data on its behalf and under its instructions, LERNIX will act as processor. If LERNIX directly receives a request to exercise rights relating to such processing, it will notify and forward it to the corresponding controller without undue delay and, where possible, within two (2) business days.
Users, Teachers and Institutions may not upload third parties’ personal data without a legitimate basis, authorization or sufficient entitlement, nor process the information available in LERNIX for purposes other than those authorized. Where the Platform enables optional sensitive data fields, such as sex or other preferences, providing them will be optional, for a disclosed purpose and subject to the explicit consent of the data subject.
15. Third-party services and integrations
LERNIX uses providers of infrastructure, hosting, databases, web delivery, voice, transcription, email, artificial intelligence, development, support and observability. It may also integrate with third-party academic systems. The up-to-date list of these providers, their purpose, location and the data involved is available at lernix.ai/en/privacy/subprocessors; LERNIX contractually agrees with those providers, or configures in their services, the exclusion of the use of personal data to train their artificial intelligence models. All data used for training or improvement will be duly anonymized.
The operation of certain features may depend on those providers. LERNIX will select and manage providers according to reasonable security, privacy and continuity criteria, notwithstanding that interruptions or changes attributable to external services may occur.
Integrations requested by an Institution may be subject to additional terms and to the authorization of the owner of the external system. The User must not use an integration to import or export information that they are not authorized to process.
16. Plans, subscriptions and payments
Access to LERNIX may be funded: (i) through an annual subscription paid by the parent, Representative or adult User; (ii) through a subscription borne by an Institution; or (iii) through a subscription borne by a sponsor or third party.
Where the purchase is direct, the price, taxes, features, term, payment method, renewal and cancellation terms will be disclosed before the purchase is confirmed. The User must provide accurate billing information and authorize the payment method used.
A subscription will only renew automatically where this condition has been clearly disclosed and accepted at the time of purchase. LERNIX will notify the User reasonably in advance before charging for the renewal, and the User may turn it off through a self-service mechanism available on the Platform, before the date indicated in their plan. Any price change will apply to future periods and will be communicated reasonably in advance.
Cancellation will normally take effect at the end of the period already paid for. There will be no prorated refund for partially used periods, except where required by law, the specific terms or a breach attributable to the Operator. Mandatory consumer rights remain fully in force.
Where a consumer contracts for the subscription directly by electronic means, they may withdraw from it within three (3) days following the purchase, in accordance with Article 45 of the Organic Consumer Protection Law (Ley Orgánica de Defensa del Consumidor), with a refund of the amounts paid.
Where access is paid for by an Institution or sponsor, the Student will not bear direct charges unless they accept a separate purchase. Continued access may depend on the term of the corresponding contract or sponsorship.
Where the contracted plan includes text use without a session limit, such use is subject to reasonable use consistent with ordinary academic activity. LERNIX may apply technical rate limits to preserve the stability of the service and, if consumption exceeds the expected pattern in a sustained and significant manner, it will give notice with supporting evidence before adjusting configurations, limiting the excess use or proposing a higher plan.
17. Demo and pilot versions and features under development
LERNIX may enable demo, pilot or beta environments or features under development. These versions may have limits, frequent changes, interruptions, experimental results or features not yet available to all Users.
Pilot versions must not be used as the sole mechanism for high-impact academic decisions. The Institution and Teachers must maintain alternative procedures and sufficient human oversight. Any pilot or beta involving underage students requires the same authorizations and data protection safeguards required for the production environment. The Operator may modify or withdraw experimental features, endeavoring to communicate relevant changes where reasonably possible.
18. Availability, maintenance and support
The Operator will make reasonable efforts to keep LERNIX available, secure and functional. However, it does not guarantee uninterrupted or error-free access. There may be maintenance, updates, internet outages, provider interruptions, device incompatibilities, security events or circumstances beyond the Operator’s reasonable control.
Where possible, efforts will be made to give notice of planned maintenance and to restore the service promptly. The User is responsible for having an adequate connection, equipment, browser, microphone and other technical requirements, and for keeping them protected and up to date.
Support channels and levels may vary depending on the contracted plan. Support does not include pedagogical advice, correction of institutional decisions or recovery of information deleted by the User. LERNIX maintains daily backups of the database.
19. Suspension, restriction and termination of accounts
LERNIX may warn, restrict, suspend or terminate an account where there is:
- A breach of these Terms, the Privacy Policy, the specific terms or applicable law.
- Unauthorized, fraudulent, abusive or risky use, or use contrary to academic integrity.
- An attempt to breach security, access controls, availability or the rights of third parties.
- Non-payment, or expiration or termination of the plan, institutional contract or sponsorship that enables access.
- Absence, refusal or revocation of the authorization required for a User who is a minor.
- A valid request from an authority, a need to protect a minor or a significant risk to other Users, the Platform or third parties.
- False information, impersonation, assignment of an account or failure to pass a reasonable verification.
Where the situation allows, LERNIX will give notice of the measure and offer a reasonable opportunity to cure. It may act immediately in cases of urgency, risk to minors, security, fraud, illegality or the need to preserve evidence.
The User may stop using LERNIX or request that their account be closed. If the account was created by an Institution, the request may require coordination with that Institution. Termination does not extinguish outstanding obligations, and the subsequent processing of the information will be governed by the Privacy Policy.
20. Liability and limitations
Each User is responsible for their acts, for the content they submit, for the use of their account and for compliance with the applicable academic, legal and contractual rules.
The Operator is not liable for academic decisions made by an Institution or Teacher; for decontextualized use of AI Results; for content uploaded by Users; for incorrect information provided by third parties; or for failures attributable to equipment, connections, systems or external services that are not under its reasonable control.
To the fullest extent permitted by law, the Operator shall not be liable for indirect or incidental damages, loss of opportunity, loss of profits or consequences arising solely from reliance on an AI Result without the required human review. This provision does not exclude liability that legally applies for willful misconduct, gross negligence or violations attributable to the Operator, nor does it limit mandatory rights of consumers or of personal data subjects.
Where the User has contracted for the subscription directly, LERNIX’s aggregate liability to that User shall not exceed the total amount actually paid during the twelve (12) months preceding the event giving rise to the claim, except for breaches of personal data protection or intellectual property attributable to LERNIX, in which case the limit shall be equal to twice (2x) that amount. This limitation does not apply to payment obligations, willful misconduct, gross negligence or liabilities that by law cannot be excluded or limited.
Each party’s liability shall be determined according to its conduct, the role it performs, the proven breach and applicable law.
21. Changes to the Platform and to these Terms
The Operator may update the Platform and these Terms to add new features, improve security, adapt the service, correct errors or comply with regulatory changes.
The current version will state its date of update. Material changes will be communicated through the Platform, by email or by other appropriate means before they take effect, where possible. If a change requires new acceptance, the User must accept it in order to continue using the service.
If the User does not accept a material change, they may stop using LERNIX and cancel the renewal of their subscription, without prejudice to the rights to which they are entitled. Amendments will not retroactively affect vested rights or obligations already performed, unless required by law.
22. Electronic communications
The User agrees to receive communications regarding operations, security, support, billing, parental authorization, contractual changes and account management through the registered email address, in-Platform notifications or other enabled channels.
The User must keep their email address up to date. Commercial or promotional communications, should any be sent, will be subject to the corresponding authorization and opt-out mechanisms.
LERNIX may keep evidence of acceptances, communications and version changes, including the date, time, IP address, language and document accepted, in accordance with the Privacy Policy.
23. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Ecuador. The parties will endeavor to resolve any disagreement in good faith through direct communication and the submission of the background information necessary to analyze the case.
If no solution is reached, the dispute will be heard by the competent authorities or courts in accordance with the law. Where the User qualifies as a consumer, the rules on jurisdiction, protection and access to administrative or judicial mechanisms applicable to them will be respected.
24. General provisions
If a provision is declared invalid or unenforceable, the remaining provisions will remain in force and the affected provision will be interpreted to the extent necessary to lawfully approximate its purpose.
Failure to exercise a right immediately does not constitute a waiver. The User may not assign their account or contractual position without authorization. The Operator may reorganize or transfer the operation of LERNIX to an affiliated or successor entity, provided that the applicable obligations are preserved and notice is given where appropriate.
LERNIX may offer versions in other languages. In the event of any discrepancy, the Spanish version shall prevail, unless applicable law provides otherwise.
